Objectives

The primary objective of this tender is to appoint a qualified service provider to conduct a comprehensive Board evaluation for Onderstepoort Biological Products (OBP). The evaluation aims to assess the effectiveness, performance, and governance of the OBP Board and its Committees, ensuring continuous improvement in governance practices aligned with the King IV Report on Corporate Governance.

Scope

The scope of work includes:

• Conducting an evaluation of the OBP Board and its Committees, including their effectiveness in fulfilling their mandates.
• Assessing the Board’s relationship with key governance stakeholders and areas impacting its effectiveness.
• Evaluating the performance of individual Board members and Committees.
• Providing recommendations for improvement based on the evaluation findings.
• Delivering a comprehensive report detailing the assessment outcomes and suggested enhancements.

The evaluation should cover all aspects related to governance, Board dynamics, and the effectiveness of sub-committees, ensuring alignment with governance best practices and statutory requirements.

Technical Requirements

• The service provider must have experience in conducting Board evaluations, preferably within the public or corporate sector.
• The evaluation process should be aligned with the King IV Report on Corporate Governance.
• The provider must develop and utilize appropriate evaluation tools and methodologies.
• The process should include stakeholder engagement, data collection, analysis, and reporting.
• The final deliverable must be a detailed report with findings, insights, and actionable recommendations.
• All activities must comply with relevant procurement and governance policies of OBP.

Skills Requirements

• Proven expertise in corporate governance, Board evaluations, and organizational assessments.
• Experience working with public sector entities or similar organizations.
• Strong analytical and report-writing skills.
• Ability to facilitate stakeholder engagement and conduct interviews or surveys as needed.
• Knowledge of the King IV Report and other relevant governance frameworks.
• Excellent project management and communication skills.
