Objectives

The primary objective of this tender is to appoint a qualified Debt Sponsor to provide ongoing support and advisory services to SANRAL for a period of sixty (60) months. The Debt Sponsor will facilitate SANRAL’s compliance with JSE debt listing requirements, assist in structuring and documentation of debt programs, and ensure timely disclosures and ongoing regulatory adherence.

Scope

The scope of work includes:

• Guiding SANRAL through JSE Debt Listings Requirements and ensuring full compliance.
• Advising on debt program structures and documentation, including Programme Memoranda and Pricing Supplements.
• Reviewing and approving documentation submitted to the JSE.
• Facilitating submissions and disclosures, including SENS announcements and listing applications.
• Monitoring ongoing compliance with financial reporting, governance, and regulatory obligations.
• Providing oversight on governance matters related to debt listings.
• Managing the appointment, resignation, or termination of the debt sponsor, including providing reasons for any changes.

Technical Requirements

The technical requirements for the successful bidder include:

• Experience as a JSE-accredited debt sponsor, evidenced by accreditation confirmation.
• Proven track record with at least one completed debt sponsorship project for State-Owned Entities, DFIs, Municipalities, or government-linked entities.
• Experience in sponsoring multiple JSE debt programs within the past five years, with supporting reference letters and documentation.
• Demonstrated technical knowledge of debt listing processes, documentation standards, and compliance monitoring.
• Qualified key personnel with academic credentials in Finance, Accounting, Economics, Law, or Investment Management, supported by certified proof.
• Ability to review, approve, and submit all necessary documentation to the JSE accurately and within required timelines.

Skills Requirements

The successful bidder must demonstrate:

• Extensive experience in debt sponsorship, particularly with JSE-listed debt instruments.
• Strong understanding of debt market regulations, disclosure requirements, and corporate governance standards.
• Proficiency in preparing and reviewing complex financial and legal documentation related to debt issuance.
• Capability to advise on structuring debt programs and ensuring compliance with listing requirements.
• Effective communication skills to liaise with JSE, SANRAL, and other stakeholders.
• Qualified key personnel with relevant academic credentials and proven professional competence.
