Objectives

The primary objective of this tender is to appoint professional service providers to assist the Gauteng Partnership Fund (GPF) in capital raising efforts and to provide post-funding support services over a period of 36 months. The service providers will support GPF in sourcing funding from third-party investors, ensuring compliance with relevant laws and regulations, and facilitating effective partnership and project implementation.

Scope

The scope of work includes:

• Strategy implementation and development of best practice bridging plans
• Transaction preparation, including assessing GPF's current situation and regulatory requirements
• Facilitation of investor engagement and deal origination
• Governance, compliance, and reporting in line with international best practices and applicable laws
• Skills transfer, capacity building, and mentorship of SMMEs and youth-owned businesses

Technical Requirements

The technical requirements for bidders include:

• Possession of a minimum Category 2 FSCA license
• Provision of a comprehensive business plan aligned with best practice principles
• Development and management of private placement memoranda and data rooms for due diligence
• Conducting investor roadshows and presentations
• Implementation of reporting frameworks conforming to legal and funder requirements
• Skills transfer and knowledge sharing plans for GPF staff
• Provision of relevant documentation such as completion letters, signed agreements, and proof of compliance

Skills Requirements

Applicants must demonstrate:

• Experience and track record in capital raising, project implementation, and monitoring, supported by at least three recent completion letters
• Ability to develop and execute a capital raising strategy, including preparing legal and financial documentation
• Capacity to manage investor relations, conduct roadshows, and facilitate due diligence processes
• Proficiency in reporting, compliance, and skills transfer to GPF staff
• Understanding of applicable laws, regulations, and international best practices in capital markets and project finance
